Preparation for a business merger with Mitsubishi Nichiyu Forklift Co.,Ltd., as well as changes in Shareholders

On September 29th, UniCarriers Corporation (Headquartered in Kawasaki, Kanagawa Prefecture; President and CEO, Akira Shiki; “UniCarriers” or “we” hereafter) decided to start preparations for a business merger with a targeted starting date of October 2017 with Mitsubishi Nichiyu Forklift Co., Ltd. (Headquartered in Nagaokakyo, Kyoto Prefecture; President and CEO, Hideaki Ninomiya; “MN” hereafter) which owns 35% of UniCarriers total stock.


Prior to the merger mentioned above, Mitsubishi Heavy Industries, Ltd. (Headquartered in Minato-ku, Tokyo; President and CEO, Shunichi Miyanaga; “MHI” hereafter), as well as its 100% owned subsidiary Mitsubishi Heavy Industries Forklift & Engine Turbocharger Holdings, Ltd., (Headquartered in Kawasaki, Kanagawa Prefecture; President and CEO, Atsushi Maekawa; “M-FET” hereafter) concluded a share transfer agreement in which M-FET will aim to transfer all of its 65% share in our company that it currently holds to MN by January 1, 2017 subject to the clearance of all procedures related to the anti-trust laws of each country.


Also, with those decisions, M-FET will increase its current ration of voting in MN from 49.4% to 51% by exercising its put option to acquire regular shares from a portion of its Class A shares of MN with an objective of expanding its material handling equipment business, and a mutual agreement has been made in which the collective strength of the MHI Group will be better utilized in order to pursue a consolidated management synergy.


Through this union with MN, we will pursue the benefits that come with being larger in scale and will aim to provide better products and more detailed services by making efforts to create and realize an increased sense of synergy.
